These Terms of Service ("Terms") govern your access to and use of the CompassPass membership-management platform, the website at https://www.compasspass.org, and any related services (collectively, the "Service") provided by CompassPass LLC ("CompassPass," "we," "us," or "our").
By creating an account, starting a free trial, or otherwise using the Service, you agree to be bound by these Terms. If you are entering into these Terms on behalf of an organization, you represent that you have the authority to bind that organization to these Terms, and "you" refers to that organization.
You must be at least 18 years old and capable of forming a binding contract to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us promptly at [email protected] of any unauthorized access or suspected security breach.
The Service is offered on a subscription basis. Current plans and pricing are described on our website and are incorporated into these Terms by reference.
All fees are in U.S. dollars and exclusive of any applicable taxes, which you are responsible for paying.
Payments are processed through PayPal. By providing payment information, you authorize CompassPass and PayPal to charge the applicable fees to your selected payment method on a recurring basis. Your use of PayPal is governed by PayPal's own terms and privacy policy.
If a payment fails, we may suspend or terminate access to the Service after providing notice and a reasonable opportunity to cure.
You may cancel your subscription at any time from your account settings or by contacting [email protected]. Cancellation takes effect at the end of the current billing period; you will retain access to the Service through that period.
Except where required by law, fees already paid are non-refundable, including any prepaid subscription amounts. No refunds are provided for partial billing periods or unused features.
"Customer Data" means information that you or your End Users submit to or generate within the Service, including member records, event data, documents, images, and communications.
As between you and CompassPass, you retain all rights in your Customer Data. You grant CompassPass a limited, non-exclusive license to host, copy, transmit, display, and process Customer Data solely as needed to provide and improve the Service, and as otherwise permitted by our Privacy Policy.
You are solely responsible for the accuracy, legality, and appropriateness of Customer Data, and for obtaining all consents necessary to upload and process it through the Service.
Information about minors. If you use the Service to maintain records about individuals under the age of 13 (for example, as a Scouting America troop or pack, youth sports league, or other youth-serving organization), you represent and warrant that you have obtained any verifiable parental consent and provided any notices required by the Children's Online Privacy Protection Act ("COPPA") and any other applicable law before uploading such information. You are responsible for responding to parental requests to review or delete a child's information, and CompassPass will assist with verified requests as described in our Privacy Policy.

The Service, including all software, designs, text, graphics, logos, and other content (excluding Customer Data) is owned by CompassPass or its licensors and is protected by intellectual property laws. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal organizational purposes during your subscription.
You may submit feedback or suggestions about the Service. You grant CompassPass a royalty-free, perpetual, irrevocable license to use such feedback for any purpose without obligation to you.
The Service may interoperate with or rely on third-party products and services (such as PayPal and Cloudflare). Your use of those services is governed by their own terms, and CompassPass is not responsible for them.
We strive to keep the Service available but do not guarantee uninterrupted access. The Service may occasionally be unavailable due to maintenance, updates, or causes outside our reasonable control.
We may modify, enhance, or discontinue features of the Service from time to time. If we make a material adverse change, we will provide reasonable advance notice where practicable.
You may terminate your account at any time as described in Section 4. We may suspend or terminate your access to the Service if you breach these Terms, if required by law, or if continued provision of the Service becomes commercially impracticable.
Upon termination, your right to access the Service ends. We will make Customer Data available for export for a reasonable period after termination, after which we may delete it in the ordinary course of business. Sections that by their nature should survive termination (including Sections 5, 7, 11, 12, 13, and 14) will survive.
You agree to defend, indemnify, and hold harmless CompassPass and its affiliates from and against any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your or your End Users' use of the Service, (b) your Customer Data, or (c) your violation of these Terms or applicable law.
These Terms are governed by the laws of the Commonwealth of Virginia, without regard to its conflict-of-laws principles. You and CompassPass agree that any dispute arising out of or related to these Terms or the Service will be brought exclusively in the state or federal courts located in the Commonwealth of Virginia, and you consent to the personal jurisdiction of those courts.
We may update these Terms from time to time. Changes will be posted on this page with an updated revision date. Material changes will be communicated by email or in-product notice where reasonably practicable. Continued use of the Service after changes are posted constitutes acceptance of the revised Terms.
These Terms constitute the entire agreement between you and CompassPass regarding the Service and supersede any prior agreements on that subject. If any provision is held unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right is not a waiver of that right. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets.
